Schedule 6: UniFi Cloud Storage

If Customer subscribes to the UniFi Cloud Storage service made available by Provider (the “Service”), Customer agrees to the following additional terms and conditions. This Schedule 6 supplements and forms part of the Ubiquiti Services General Terms and Conditions (the “Agreement”). Capitalized terms used but not defined in this Schedule 6 have the meanings given in the Agreement. Customer is responsible for its Authorized Users’ compliance with this Schedule 6.

  • Definitions

    AUP” means the Acceptable Use Policy set forth in Annex A to this Schedule 6.

    Stored Data” means Customer Data stored in the Service.

  • Account Security and Authentication
    • Multi-Factor Authentication. Customer acknowledges that multi-factor authentication may be required for access to the Service. Where authentication is managed through a third-party identity provider, the authentication requirements of that identity provider will apply.
    • Responsibility for Access Credentials. Customer is solely responsible for properly maintaining and safeguarding Customer’s and its Authorized Users’ Access Credentials and authentication configuration. Customer is responsible for all access to and use of the Service through Customer Systems or Customer’s and its Authorized Users’ Access Credentials, whether or not authorized by Customer.
    • Account Recovery. For security reasons, Provider may be unable to provide access to Stored Data if Customer cannot present the appropriate Access Credentials or authentication factors.
  • Customer Obligations
    • Use Limits. Customer may use the Service only as permitted by the applicable Service Description, Documentation, and any usage limits associated with Customer’s plan or subscription.
    • Excessive Use. If Customer’s usage materially exceeds typical usage patterns for the Service or otherwise places an undue burden on the Service, the Provider Systems or the systems of the Subcontractors , Provider may require Customer to modify its configuration, reduce its data volume, implement reasonable throttling controls, or take other actions reasonably necessary to maintain system stability. If Customer does not timely comply, Provider may suspend, throttle, or restrict Customer’s access to the Service to the extent reasonably necessary to protect the Service.
    • Age Restrictions. The Service is not intended for individuals under thirteen (13) or any higher minimum age required by applicable Law, and Customer shall not authorize such individuals to use the Service. Provider does not knowingly collect Personal Information from such individuals with the Service. If Provider becomes aware that such an individual is using the Service, Provider may disable that individual’s access and take other actions required by applicable Law.
    • “Unlimited” Claims; Misuse. Some aspects or offerings within the Service may be described as “unlimited” or suggest that any part of the Service can be used without limitations or conditions. However, “unlimited” strictly refers to use of the Service in the ordinary and intended manner described in applicable Service Description and Documentation. “Unlimited” does not permit use in ways inconsistent with the Service’s intended design, including use that violates the Agreement, this Schedule, the AUP, or applicable Law. If Provider reasonably believes Customer is abusing or using the Service not in accordance with this paragraph, Provider may require Customer to modify its usage, and if Customer fails to do so within a reasonable period, Provider may suspend or terminate Customer’s access to the Service upon notice. Provider may suspend or terminate access immediately and without prior notice where such misuse (a) violates Law, (b) violates the AUP, or (c) poses a risk to the security, integrity, or performance of the Service.
    • Updates. If Provider makes client-side software available for use with the Service, such software may require a current release to function securely, reliably, and compatibly with the Service. Provider may deploy updates from time to time, and Customer is responsible for installing updates as reasonably necessary to maintain security, reliability, and compatibility with the Service. Provider may restrict, disable, suspend, or terminate access to the Service on any device running outdated or unsupported versions of such software or operating system, consistent with the Agreement.
    • No Circumvention. Customer shall not circumvent, or attempt to circumvent, storage limits, metering, quotas, pricing, or usage policies for the Service.
    • Acceptable Use Policy. Customer’s access to and use of the Service is subject to the AUP. Provider and its Subcontractors may suspend or terminate Customer’s access to the Service for violations of the AUP as described therein.
  • Stored Data
    • As between Customer and Provider, Customer retains all right, title, and interest in and to Stored Data. Customer grants Provider, its Affiliates and Subcontractors permission to Process Stored Data solely as necessary to provide, secure, operate and support the Service, including storing, displaying, reproducing, transmitting, and distributing Stored Data as necessary to provide the Service and to perform Provider’s obligations under the Agreement. This permission also extends to third parties Provider and its Subcontractors work with to provide the Service.
    • Customer is solely responsible for the content, accuracy, quality, legality, and use of Stored Data and the means by which Customer acquired the Stored Data. Customer assumes all risks associated therewith, including intellectual property or other legal claims. Customer represents and warrants that it has all necessary rights to store, use, share and, if applicable, publicize Stored Data, and that doing so does not conflict with, violate or misappropriate any third-party rights, conflict with licenses Customer has granted to others, violate Law, or violate the Agreement, this Schedule 6, the AUP, or other applicable policies.
    • Sharing. If the Service allows Customer to share Stored Data with others, sharing is under Customer’s sole control and discretion. Customer is responsible for configuring and using sharing features appropriately and securely.
    • File Naming Restrictions. Without limiting Section 3 of the Agreement, Customer shall not include protected health information or other sensitive personal data in the names of files, folders, or objects stored in the Service.
  • No Active Monitoring; Content Removal and Suspension
    • No Active Monitoring. Provider and its Subcontractor do not actively monitor Stored Data that Customer uploads, downloads, or shares through the Service. Provider may, however, use automated tools or conduct targeted review as reasonably necessary to operate, secure, or support the Service, enforce the Agreement or AUP, investigate suspected misuse, or comply with Law.
    • Removal and Suspension. Provider may remove, disable access to, or restrict Stored Data, and/or suspend or terminate access to the Service, if Provider becomes aware that Customer’s Stored Data or use of the Service violates the Agreement, this Schedule, the AUP, applicable Provider policies, third-party rights, or Law, including where Stored Data contains Harmful Code or is used to distribute Harmful Code.
    • Third-Party Notices. If Provider (or a Subcontractor acting on Provider’s behalf) is required by a licensor, regulatory authority, or other competent authority to remove or block access to Stored Data, or if Provider receives notice that Stored Data may violate Law or third-party rights, Provider may notify Customer unless legally prohibited from doing so. If Provider gives such notice, Customer shall promptly remove or disable access to the relevant Stored Data through the Service. If Customer fails to do so, Provider may block access to, disable, or remove the applicable Stored Data and may suspend Customer’s access to the Service to the extent reasonably necessary to resolve the matter.
  • Legal Requests

    Customer is responsible for responding to requests for information about Customer’s or its Authorized Users’ use of the Service from law enforcement or any third party where such request is directed to Customer. To the extent Provider or its Subcontractor receives a request relating to Customer’s Stored Data, Provider or its Subcontractor may respond to such requests to the extent required by Law and Provider may notify Customer unless legally prohibited.

  • Digital Millennium Copyright Act
    • Section XI. Digital Millenium Copyright Act of Ubiquiti’s Terms of Service (https://www.ui.com/legal/termsofservice) is incorporated herein by reference.
    • Provider may respond to notices of alleged copyright infringement by removing or restricting access to allegedly infringing material. If Provider removes or restricts access to content in response to a copyright notice, Provider will use good-faith efforts to contact the affected account holder to provide information about the situation, including a copy of the takedown notice and instructions for filing a counter-notification, unless legally prohibited.
    • If Customer receives a message from Provider about a DMCA complaint, it means that the content identified in the notice has been removed from the Service or access to the content on the Service has been restricted. If Customer re-posts material removed in response to a DMCA notification, Provider may permanently suspend Customer’s account. If Customer believes content was removed in error, Customer should consider filing a counter-notice instead of re-posting the material.
    • Where appropriate, Provider may warn and suspend repeat infringers. In more serious cases, Provider may permanently terminate user accounts.
  • Data Portability and Switching (Where Required by Law)

    Where applicable Law provides Customer with a right to switch to another provider of data processing services, Customer may request export of Stored Data by providing written notice to Provider. Provider will use commercially reasonable efforts to facilitate export of Customer’s exportable Stored Data within the timeframes required by Law. Any fees directly and solely attributable to the switching process will be handled as required by Law; all other applicable fees, including usage-based fees, remain in effect.

  • Order of Precedence

    In the event of a conflict between this Schedule 6 and the Agreement, this Schedule 6 will control solely with respect to the Service.

Annex A: Acceptable Use Policy

Provider or its Subcontractor may suspend or terminate Customer’s access to and use of the Service for violations of this policy. Provider and its Subcontractor reserve the right to suspend or terminate immediately and without prior notice where they reasonably believe the violation (a) involves illegal activity, (b) poses a risk to the security or integrity of the Service, (c) exposes Provider, its Subcontractor or other third parties to legal liability, or (d) involves child sexual abuse material (“CSAM”) or non-consensual intimate imagery.

A. Illegal Activity and Prohibited Content. Customer may not:

  • Violate any applicable Law.
  • Store, publish, share, or transmit content that constitutes CSAM, or that sexually exploits or promotes the sexual exploitation of minors.
  • Store, publish, share, or transmit another person’s intimate imagery without their authorization for purposes of harassing, exposing, harming, or exploiting them.
  • Store, share, or transmit content that infringes or misappropriates the intellectual property rights of others, including copyrighted works, trademarks, or other proprietary materials, without authorization.
  • Store or share another person’s confidential or identifying information without authorization for purposes of harassing, harming, or exploiting them.
  • Send altered, deceptive, or false source-identifying information, including spoofing or phishing.
  • Engage in any form of payment fraud, including unauthorized use of payment methods or illegitimate chargebacks.

B. Service Integrity and Security. Customer may not:

  • Use the Service in any way that does or could disrupt, disable, or impair the functioning of the Service, or materially degrade the Service for other users, including by interfering with any software, hardware, or equipment.
  • Store or use the Service to host or distribute malware, or in support of phishing, spam, or similar activities.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Probe, scan, or test the vulnerability of Provider’s or its Subcontractor’s systems or networks, except as expressly permitted under a written agreement with Provider (such as an authorized bug bounty program).
  • Use automated means to monitor, scrape, or copy Provider Materials or data made available through the Service except as permitted by the Agreement..
  • Use the Service in a manner that disproportionately consumes resources or exceeds reasonable usage patterns, as determined by Provider.

C. Service Use Restrictions. Customer may not:

  • Access or use the Service in a manner inconsistent with its intended purpose as described in the applicable Service Description or Documentation.
  • Sell, resell, license, sublicense, distribute, rent, or lease the Service or access to the Service, without Provider’s prior written authorization.
  • Use the Service as the basis for any blockchain, distributed ledger, or similar consensus mechanism that relies on allocated storage capacity, without Provider’s prior written authorization.
  • Use the Service for competitive analysis, development or provision of a competing product or service, or another purpose intended to benefit a competitor without Provider’s prior written authorization.
  • Reverse engineer the Service (to the extent such restriction is permitted by Law).
  • Use Provider’s, its Subcontractor’s, or other licensors’ intellectual property except as expressly permitted under the Agreement.
  • Circumvent, or attempt to circumvent, storage space limits, pricing, or other Service restrictions.
  • Use the Service beyond the number of devices, users, or storage scope permitted under Customer’s plan or subscription, including sharing accounts or extending use to unauthorized devices.
  • Harass or abuse Provider’s or its Subcontractor’s personnel, representatives, or agents.
